Adam Atlas Attorney at Law (the “Firm”) provides this web site (the “Site”) subject to your compliance with the terms and conditions below. PLEASE READ THIS BEFORE ACCESSING THE SITE. BY ACCESSING THE SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE.
By accessing the Site, you agree to be bound by the terms and conditions listed below:
1. Rules.
While visiting the Site, you may not:

Firm has no obligation to monitor the Site. However, you agree that Firm has the right to monitor the Site electronically from time to time and to disclose any information as necessary to satisfy any law, regulation or other governmental request, to operate the Site properly, or to protect itself or its users in accordance with Firm’s Privacy Policy. Firm will not intentionally monitor or disclose any private electronic-mail message unless required by law. Firm reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of this Agreement.
3. Privacy.

4. No Legal Advice
Nothing on this Site shall be interpreted as legal advice. The Firm is licensed in the State of New York and the Province of Quebec only and provides no advice other than under the laws of those jurisdictions. This Site, however, contains no legal advice.
5. Engagement.
You may engage the Firm to represent you by accepting the terms of engagement presented to you for that purpose after an initial discussion with the Firm
6. Limitation of Liability.
FIRM, INCLUDING ITS AFFILIATES, RELATED COMPANIES AND SUPPLIERS, TAKE NO RESPONSIBILITY FOR THE ACCURACY OR VALIDITY OF ANY CLAIMS OR STATEMENTS CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS ON THE SITE. FURTHER, FIRM MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF ANY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS ON THE SITE FOR ANY PURPOSE. UNDER NO CIRCUMSTANCES SHALL THE FIRM BE LIABLE TO YOU FOR ANY AMOUNT GREATER THAN $100.
7. Recourse.
If you are dissatisfied with the Site or with any terms, conditions, rules, policies, guidelines or practices of Firm in operating the Site, your sole and exclusive remedy is to discontinue using the Site.
8. Indemnity.
You agree to defend, indemnify and hold Firm and its affiliates and related companies harmless from any and all liabilities, costs and expenses, including reasonable attorneys’ fees, related to any violation of this Agreement by you or users of your account, or in connection with the use of the Site or the Internet or the placement or transmission of any message, information, software or other materials on the Site or on the Internet by you or users of your account.
9. Intellectual Property.
All elements of the Site (the “Elements”) such as, without limiting the generality of the foregoing, the texts, articles, photos, illustrations, images, videos and audio materials, are the property of Firm and are subject to licenses or agreements allowing their broadcast through the site. No site Element may be copied, reproduced, distributed, published, translated, downloaded, posted or sent, in any way whatsoever, without the prior written approval of Firm or the copyright holder. You are allowed to post or download the site Elements, but solely for non-commercial purposes and for personal use, provided you do not change these Elements and maintain all their intellectual property notices.
The trademarks and logos used or posted on the Site are trademarks which were registered or not by Firm or third parties. Nothing in the Site may be interpreted as allowing, directly or indirectly, the use of a trademark reproduced on Site without the prior written approval of the owner of such trademark.
10. Territory.
The Site originates and is published in Canada, however, certain services offered from this Site are offered elsewhere.
11. Miscellaneous.
This Agreement, including any and all documents referenced herein, constitutes the entire agreement between Firm and you pertaining to the subject matter hereof. Firm’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provisions or right. If any of the provisions contained in this Agreement were determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein. This Agreement shall be governed by and construed in accordance with the applicable laws of the Province of Quebec and the federal laws applicable therein.

Information Collection

Site is the sole owner of the information posted or collected through the Site. Site collects information from our users at several different points on this site.

The information we collect is used exclusively for underwriting your account and deciding if our organization or our sponsoring bank wishes to do business with you either as an agent for the solicitation of merchant services or as a merchant to whom merchant services (credit card and debit card processing) will be supplied.  We may also use your information to solicit you, either directly or indirectly, to offer additional products or services.  We may make other uses of your information with your consent.

Profile

We store information that you provide to us (such as documents e-mailed to us ) or that we collect through cookies, log files, clear gifs, and/or third parties to create a profile of our users. A profile is stored information that we keep on individual users. Consequently, collected information is tied to the users personally identifiable information. This profile is used to tailor a user’s visit to our Site, and to direct pertinent marketing promotions to them. We do not share your profile or any part thereof with any third parties.

Log Files

Like most standard web site servers we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track user’s movement in the aggregate, and gather broad demographic information for aggregate use. IP addresses, etc. are not linked to personally identifiable information.

Legal Disclaimer

Though we make every effort to preserve user privacy, we may need to disclose personal information when required by law wherein we have a good-faith belief that such action is necessary to comply with a current judicial proceeding, a court order or legal process served on our Site.  We may also disclose your information to our sponsoring bank in order for such bank to evaluate whether or it or we can do business with you.

Business Transitions

In the event Site goes through a business transition, such as a merger, being acquired by another company, or selling a portion of its assets, users’ personal information will, in most instances, be part of the assets transferred.

Security

We take every precaution to protect our users’ information. When users submit sensitive information via the Site, their information is protected both online and off-line.

Only employees or consultants, if any, who need the information to perform a specific job (for example, our billing clerk or a assessment consultant) are granted access to personally identifiable information. Our employees and consultants, if any, must use password-protected screen-savers when they leave their desk. When they return, they must re-enter their password to re-gain access to user information. Furthermore, ALL employees and consultants, if any, are kept up-to-date on our security and privacy practices. As well, any time new policies are added, our employees and consultants, if any, are notified and/or reminded about the importance we place on privacy, and what they can do to ensure our users’ information is protected. Finally, the servers that store personally identifiable information are in a secure environment, in a locked facility.
